Buy-Side Advisory

Our Buy-Side Advisory services encompass supporting businesses with identifying strategic acquisition targets, confidentially contacting potential targets, negotiating terms and transaction structures, and supporting the transaction through closing.

Sell-Side Advisory

Our Sell-Side Advisory services encompass change of control transactions where a majority of an operating company is being sold to a strategic acquirer. We assist with valuing the operating company, preparing all of the transaction materials, sourcing potential acquirers, negotiating transaction and payment structures with acquirers, and supporting the transaction through closing.

Tax Credit Advisory

Puerto Rico is a unique jurisdiction with transferable tax credits. These tax credits can be used by any individual or company with a Puerto Rico-sourced tax liability. The transfer of tax credits is tax-exempt. Companies performing R&D, hospitality and tourism projects, film projects, and certain infrastructure investments can generate tax credits in Puerto Rico. Our Tax Credit Advisory services encompass placing tax credits for companies or projects that have tax credits that need to be sold and helping those with tax liabilities source tax credits for purchase.

Commercial and Industrial Solar Advisory

Our Solar Advisory services encompass sourcing commercial and industrial solar Power Purchase Agreements (PPAs) for companies operating in Puerto Rico. Puerto Rico has very high energy costs and year-round sun, making it an ideal location for solar. In many cases, clients save 25%+ on their monthly energy bills under a PPA. In a PPA, the developer incurs all of the costs for installation and becomes the new provider of electricity for the client. The PPA rates are locked in for 20 to 25 years, with maintenance included. Our services encompass scheduling site visits with multiple developers under an RFP, negotiating with developers and structuring PPA terms, and managing the developer relationship through the completion of the solar installation.
